Terms & Conditions

1. Agreement to these terms
By accessing or using the Illuminious LLC ("Illuminious," "we," "our," or "us") website, customer portal, and services, you agree to these Terms and Conditions. Illuminious LLC is a Wyoming limited liability company with its registered agent address at 30 N Gould St, Ste R, Sheridan, WY 82801, and operations in San Francisco, CA 94107. If you do not agree, do not use the services.
These terms are versioned. When you accept an official quote and again when you pay, the portal records which version of these Terms and of the Privacy Policy was in force, together with the timestamp of your acceptance. That record is what governs your order, not whatever this page says at some later date.
2. Services
Illuminious provides electronics and mechanical manufacturing and engineering services, including PCB fabrication and assembly, SMT stencils, flexible heaters, custom mechatronic parts, 3D printing, CNC machining, sheet metal fabrication, PCB layout, and related supply-chain and logistics work. Work is performed by Illuminious and by qualified manufacturing partners in the United States and overseas; Illuminious remains your counterparty for every order placed through the portal.
3. How an order works
Every order moves through the same sequence, and no step is skipped:
- You create an account and verify your email address.
- You configure the work and upload technical files. The portal may show a preliminary estimate.
- You submit for engineering review. This is free and no payment method is collected.
- Engineering reviews the submission and publishes an official quote, or asks you a question.
- You accept, question, or decline the official quote. Accepting does not charge you.
- You pay the accepted total. Payment does not by itself authorize production.
- Illuminious releases the order to production or design once every gate in section 11 passes.
An earlier version of this service charged a preliminary estimate or a review deposit up front and used that payment to start engineering review. That model was retired on September 1, 2026. No deposit is taken at any point, and no payment is possible before an official quote has been published and accepted.
4. Preliminary estimates are not offers
Any figure shown before an official quote — in the configurator, in a cart, in a saved draft, or in a message — is a non-binding preliminary estimate calculated from the information you entered. It is not a price, not an offer, and not capable of being paid. It may change freely before you submit for review, and engineering review may price the work differently.
5. Free engineering review and the review quota
Engineering review is performed before payment and is free. A reviewer checks the exact file and specification revision you submitted, and may approve the scope, ask a question, request corrected files, or propose an itemized change. Review targets are one business day for most services and two business days for PCB Layout, Custom Mechatronic Parts, and Flexible Heater. Those are targets, not guarantees.
Because review consumes engineering time at no charge, it is subject to a quota per account. At launch the limits are three open reviews at once, five submissions in any rolling twenty-four hours, and twenty submissions in any rolling 30 days. A submission that would exceed a limit is refused rather than queued. A review slot stays occupied while the order is live work — awaiting review, awaiting your response, quoted, accepted, or awaiting payment — and is released when the order is paid, cancelled, declined, or otherwise closed. Limits may be raised for a named organization by agreement.
6. The official quote
The official quote is the binding commercial document. It states an itemized total, the shipping and tax components, the lead time, the assumptions it relies on, and a validity window set between 1 and 60 days. Processing costs are already included in the quoted price and are never added as a separate line at checkout.
A correction is published as a new revision that supersedes the previous one; we do not edit a published quote. Superseded, declined, and expired revisions stay readable in your project history. If the validity window lapses before you accept, the quote expires, nothing is charged, and we re-price rather than bill stale terms.
7. Acceptance and the payment window
Accepting an official quote locks its itemized total, lead time, and stated assumptions to your order. Acceptance does not charge you; it opens payment. Payment is due within seven calendar days of acceptance. After that window closes, a checkout can no longer be created, the order becomes a staff action item, and pricing is refreshed through a new quote revision. Nothing is cancelled automatically in either direction, and no automatic charge is ever taken.
The accepted total is never recomputed between acceptance and payment. Checkout copies the accepted amounts exactly, and automatic tax calculation at checkout is disabled so that nothing can be added to them.
8. Payment methods, card and bank debit
Payments are processed by Stripe. Illuminious never receives or stores your full card number or your bank credentials. A checkout session is valid for thirty minutes; starting a new attempt cancels the previous one.
Card and wallet payments settle immediately, and your order advances as soon as Stripe confirms the charge.
ACH bank debit is offered at checkout to customers in the United States, for an order or for a scheduled payment of an order, at the same price as card — there is no ACH surcharge and no ACH discount. Checkout shows which payment methods are available for each payment. ACH is a delayed rail: your checkout completes as pending and the payment typically settles in three to five business days. Your order does not advance, and lead time does not begin, until settlement is confirmed. If a bank debit fails after the checkout completes, the order returns to awaiting payment and we tell you.
Payments for adjustments are made by card only. A refund is paid back on the same payment method that paid it, in part or in full. Where a change reduces the amount owed on an order that was paid by bank debit, we refund any amount paid above the revised total to the bank account; a bank refund can take longer than a card refund to complete.
Your order record in the portal is your invoice document, issued against the accepted official quote and carrying its order number. Stripe emails the payment receipt separately. We do not issue a third document.
9. Changes after payment
If a correction is needed after payment, we publish an itemized adjustment for your response rather than acting on it silently. An adjustment is valid for seven calendar days from publication. An increase requires your acceptance and a separate payment; we never charge an increase automatically. A decrease is refunded once the revised scope is accepted, subject to the bank-debit treatment in section 8. Production does not start, and does not continue past an affected step, on an unanswered adjustment.
10. Cancellation and refunds
Because review is free and payment is late, most cancellations involve nothing to refund. The defaults are:
| Situation | Default outcome |
|---|---|
| You abandon a free review request, or decline the official quote | Nothing charged, nothing refundable. The order is parked and staff may close it with a stated reason. |
| The quote validity or payment window lapses | Nothing charged. Pricing is refreshed by a new quote revision, never resurrected. |
| You cancel after acceptance but before payment | Nothing charged. The unpaid order is cancelled. |
| Illuminious determines an order cannot be fulfilled, before production release | Full refund of the amount paid for the affected item, including its allocated standard shipping charge if that shipping was not incurred. |
| You cancel a paid item before production release | Full refund of the affected-item amount, less only separately disclosed third-party costs you authorized that have already been incurred. |
| You decline a post-payment adjustment before production release | Same treatment as cancelling a paid item before release. |
| You cancel after production release | No automatic refund. Finance and support review recoverable value, work completed, supplier commitments, and quality obligations, and respond with a stated outcome. |
| PCB Layout or custom design work, after an accepted milestone | Refund of the unearned balance. Accepted or completed milestone amounts remain earned, as disclosed in the official quote. Scope review is not a milestone — it is free. |
| Price decrease after payment | Refund of the overpayment once the revised scope is accepted. |
| Unmatched, duplicate, or erroneous payment | The order is placed on a financial hold and finance resolves it as refunded, retained by agreement, or written off. See section 12. |
| Quality complaint | No automatic outcome. Support records the evidence and authorized staff approve a remake, credit, partial refund, or full refund against the accepted specification and the investigation. |
Refunds return to the original payment method wherever the method supports it. Account credit is offered only if you choose it and is never substituted for a refund without your agreement. Refund initiation and settlement by the processor are separate events, and we do not describe a refund as complete before the processor confirms it. Payment-processing costs are absorbed by Illuminious on pre-production refunds unless a signed agreement states otherwise.
11. Production release
Payment alone never authorizes production. Illuminious releases an order deliberately, and the release is refused unless every one of the following holds: the order is paid in full against its accepted official quote; the quote, adjustment, and owed-back balances are all zero with no adjustment awaiting your response; every order item has an approved engineering review with no second review still open; every deliverable requiring your approval has it; no blocking issue and no financial hold is open; and the order belongs to an active customer organization with an identifiable payer and approver. Lead time is counted from settled payment, not from acceptance.
A material file or specification change after release creates an exception and requires an authorized hold before the affected work continues.
12. Financial holds
If money is received that cannot be matched to an accepted quote — a duplicate payment, a payment against a cancelled order, an amount that does not correspond to any balance — the order is placed on a financial hold and the cents are recorded as owed back to you rather than as revenue. A held order cannot be re-quoted, re-accepted, re-checked-out, expired, cancelled as unpaid, or shipped until finance resolves the hold as refunded, retained by agreement, or written off. This is deliberate: a collection cannot be erased, so an order that has ever taken a charge stays outside the ordinary unpaid workflow.
13. Shipping, tax, and duties
Shipping is a separate line item. A preliminary estimate may show an indicative shipping figure; the official quote states the shipping you are actually agreeing to. Sales and use tax is decided once, on the official quote, before you accept it, and is shown as a separate component. Nothing adds tax between acceptance and payment.
Import duty, tariffs, brokerage, and destination charges are excluded unless the shipping term stated on your quote explicitly includes them. We do not imply delivered-duty-paid treatment. A change of delivery address, or a split shipment that was not in the accepted quote, is repriced through a quote revision before payment or an adjustment after it, and never silently alters an accepted total.
14. Design services and milestones
PCB Layout and comparable design work are delivered against milestones stated in the official quote — typically requirements received, scope and price reviewed, payment settled, placement ready, placement approved, routing ready, routing approved, and final package delivered. Where you require an approval at a milestone, the following stage does not begin until that approval is recorded. Each delivery and each response is versioned. Scope growth is handled as a new quote revision or an adjustment, not as unbilled extra work.
15. Your files, specifications, and responsibilities
You are responsible for the accuracy and completeness of the files, specifications, quantities, and requirements you submit, and for having the right to submit them. Engineering review checks manufacturability and internal consistency against the stated scope; it is not a design audit and does not verify that a design meets your functional, regulatory, or safety requirements unless that verification is itemized in the official quote. We manufacture the file and specification revision recorded on your accepted quote. Replacing a file creates a new revision rather than editing the accepted one.
16. Restricted items and end use
You may not use the services for work that is unlawful, that infringes a third party's rights, or that you are barred from exporting, importing, or possessing under applicable law, including United States export control and sanctions law. Weapons, controlled goods, and applications subject to specific regulatory approval require prior written agreement. Illuminious may decline or stop work that falls outside these limits, and will state the reason.
17. Intellectual property
Website and portal content, including text, graphics, logos, images, and software, is the property of Illuminious LLC and protected by intellectual property law. You may not reproduce, distribute, or create derivative works from it without our prior written consent.
Your designs, models, drawings, source files, and proprietary information remain yours. We use them to quote, review, manufacture, and support your order, and to satisfy legal and audit obligations, and for no other purpose. Ownership of design-service deliverables is stated in the official quote for that work.
18. Confidentiality
Both parties will keep confidential the proprietary information exchanged in the course of business, and will disclose it only to people and suppliers who need it to perform the work. This obligation survives the end of the business relationship. Where a separate non-disclosure agreement is in force, that agreement governs.
19. Electronic notices and approvals
Quote acceptance, approvals, adjustment responses, and cancellations are recorded electronically in the portal, with the acting account and a timestamp, and have the same effect as a signed instruction. Notices are sent to the email address on your account and are also shown in the portal; the portal is the authoritative surface if email delivery is delayed. Keep your account email current, and treat account credentials as your responsibility.
20. Quality standards
We deliver against the specification recorded on your accepted official quote. Our manufacturing partners operate to ISO 9001 quality management systems, and inspection scope, test requirements, and acceptance criteria are those itemized in that quote.
21. Limitation of liability
To the maximum extent permitted by law, Illuminious LLC is not liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to the services. Our total liability for any claim will not exceed the amount you paid for the specific order giving rise to it.
22. Indemnification
You agree to indemnify and hold harmless Illuminious LLC, its officers, directors, employees, and agents from claims, damages, losses, or expenses arising from your use of the services, from the content or end use of the designs you submit, or from your violation of these terms.
23. Force majeure
Neither party is liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government action, and supply-chain disruption. Where such an event prevents fulfillment, the refund rules in section 10 apply.
24. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Disputes are resolved in the courts of Sheridan County, Wyoming.
25. Changes to these terms
We may revise these Terms. A revision is published under a new version number and applies to orders accepted after it takes effect. Your existing orders continue under the version recorded against them. If any provision is found unenforceable, the remainder stays in effect.
